Terms of Service

1. Who These Terms Are With

Medallion XLN ("Medallion XLN", "we", "our", "us") is an open-beta platform for creators, developers, and community participants, operated by [LEGAL ENTITY NAME], [REGISTERED ADDRESS], [COMPANY / REGISTRATION NUMBER].

By accessing or using Medallion XLN (the "Service") you agree to these Terms. If you do not agree, do not use the Service. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.

How we handle personal data is described in our Privacy Policy, which forms part of these Terms.

2. Definitions

  • Agent - an AI system made available through the Service, whether published by us or by another user.
  • Publisher - a user who makes an Agent or application available to others through the marketplace.
  • User Content - anything you submit, post, upload, or transmit through the Service.
  • Output - content generated by an Agent in response to your input.
  • Consumer - a natural person acting outside their trade, business, craft, or profession.

3. Open Beta

The Service is in open beta. This means:

  • features may change, break, or be withdrawn without notice;
  • data may be reset, migrated, or modified;
  • uptime and performance are not guaranteed;
  • the Service is provided "AS IS" and "AS AVAILABLE", subject to Section 15.

Nothing in this section limits rights that consumers hold under mandatory law, including the statutory conformity guarantees under Directive (EU) 2019/770 on digital content and digital services.

4. Eligibility

To use the Service you must:

  • be at least 18 years old;
  • have legal capacity to enter into a binding contract;
  • not be located in, or ordinarily resident in, a jurisdiction subject to comprehensive sanctions, and not appear on any applicable sanctions or restricted-party list;
  • comply with all laws applicable to you.

5. Accounts

You are responsible for:

  • the security of your account and your registered email address;
  • all activity carried out through your account;
  • providing accurate registration information and keeping it current.

Access uses one-time login codes sent to your email. Anyone who controls that mailbox can access your account. Tell us immediately at security@medallionxln.com if you suspect unauthorised access.

6. Acceptable Use

You agree not to:

  • break any law or regulation, or help anyone else do so;
  • infringe intellectual property, privacy, or publicity rights;
  • upload malicious code, probe or exploit vulnerabilities, or interfere with the Service's operation;
  • scrape, harvest, or bulk-extract data from the Service, or circumvent rate limits, usage caps, or access controls;
  • harass, threaten, defame, or impersonate anyone;
  • use the Service for fraud, deception, or market manipulation;
  • use Agents to generate content that is unlawful, that sexualises minors, that constitutes non-consensual intimate imagery, or that impersonates a real person in order to deceive;
  • present Output as human-authored where doing so would mislead in a way that causes harm;
  • use the Service to build a competing AI model, or to extract prompts, weights, or system instructions.

We may remove content, restrict features, or suspend access where we reasonably believe this section has been breached. Section 12 describes what you can do about it.

7. AI Agents

7.1 You are interacting with an AI system

Agents are artificial intelligence systems, not people. This is disclosed in the interface at the point of interaction and is stated here for completeness.

7.2 Output is not reliable by default

Output may be inaccurate, incomplete, outdated, biased, or entirely fabricated, including where it appears confident, specific, and well-sourced. You are responsible for verifying Output before relying on it, and for any decision you take on the basis of it.

Do not use Output as a substitute for professional legal, financial, medical, tax, or safety advice.

7.3 Ownership of Output

As between you and Medallion XLN, you own the Output generated from your inputs, to the extent it is capable of being owned. Output may not be unique: similar inputs from other users can produce similar or identical Output, and we make no representation that Output is original or free of third-party rights.

7.4 Labelling

Where you publish Output publicly, you are responsible for any disclosure obligations that apply to you, including under Article 50 of Regulation (EU) 2024/1689 (the AI Act). We mark generated content in machine-readable form where we are required to do so as provider.

7.5 Usage limits

Agent usage is metered. Free allowances, credit packs, and subscription tiers are described at the point of purchase and may change on notice under Section 17.

8. Marketplace and Third-Party Publishers

8.1 If you use a third-party Agent or app

The marketplace hosts Agents and applications published by other users. We do not review, endorse, verify, or guarantee them. Their behaviour, instructions, and quality are set by their Publisher. Your use of a third-party Agent is at your own risk.

8.2 If you publish an Agent or app

As a Publisher you represent and warrant that:

  • you hold all rights necessary to publish it;
  • it complies with Section 6 and with all laws applicable to it, including the AI Act and applicable data protection law;
  • its description accurately reflects what it does, what data it processes, and what its limitations are;
  • you will respond to reports about it and to our requests for information within a reasonable time;
  • you will not configure it to collect personal data beyond what its stated function requires.

You grant us a non-exclusive, worldwide, royalty-free licence to host, display, distribute, and operate your Agent for the purpose of running the marketplace. We may remove or suspend any listing at our discretion, particularly where we receive a credible report of illegality or harm.

Where you process personal data of other users through your Agent, you may be an independent controller or joint controller under GDPR and are responsible for your own compliance.

9. Your Content

You keep ownership of your User Content.

You grant Medallion XLN a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, adapt for formatting purposes, publish, and display your User Content, solely to the extent necessary to operate, secure, and provide the Service and any features you use.

We do not use your User Content or your Agent inputs to train AI models, and we do not grant our providers the right to do so. [VERIFY THIS AGAINST YOUR MODEL PROVIDER'S API TERMS BEFORE PUBLISHING. IF THE PROVIDER RESERVES TRAINING RIGHTS, THIS SENTENCE MUST BE CHANGED, NOT LEFT IN.]

The licence ends when you delete the content or close your account, except for copies retained in backups for the periods described in the Privacy Policy, content already shared with others, and anything recorded on a public blockchain.

Our content: the Service software, branding, design system, and documentation are owned by Medallion XLN and may not be copied, reproduced, or reused without permission.

10. Wallet, Tokens, and On-Chain Activity

10.1 Custody

10.2 On-chain activity is permanent

Transactions recorded on the Algorand network are irreversible, publicly visible, and outside our control. We cannot reverse, cancel, amend, or delete them, and we cannot recover assets sent to an incorrect address.

10.3 XLN and platform tokens

Platform tokens, credits, and welcome allocations are utility features of the Service. They are not securities, investments, or claims on Medallion XLN, they carry no dividend, profit, redemption, or governance entitlement, and we make no representation that they hold or will hold monetary value.

10.4 Network risk

Blockchain networks may experience congestion, forks, outages, or protocol changes. Smart contracts may contain defects. We are not responsible for losses arising from network conditions or from contract behaviour we do not control.

11. Payments and Subscriptions

Payments are processed by Stripe under Stripe's own terms. We do not receive or store your full card details.

  • Subscriptions renew automatically on the anchor date shown at checkout until cancelled.
  • You may cancel at any time from your account; cancellation takes effect at the end of the current billing period.
  • Credit packs are consumed as you use Agents and do not expire unless stated at purchase.
  • You are responsible for any taxes arising from your use of the Service and for your own tax reporting.
  • Prices may change on at least 30 days' notice, effective from your next renewal.

11.1 Right of withdrawal - EU and UK consumers

If you are a consumer in the EEA or UK you normally have 14 days to withdraw from a purchase of digital content without giving a reason.

Where you ask us to begin supplying digital content immediately, you lose that right once supply has begun, provided you expressly requested immediate performance and acknowledged the loss of the withdrawal right. We capture that acknowledgment at checkout. [YOUR STRIPE CHECKOUT MUST ACTUALLY CAPTURE THIS. IF IT DOES NOT, THE 14-DAY RIGHT SURVIVES REGARDLESS OF THIS PARAGRAPH.]

12. Content Moderation and Complaints

Anyone may report content or an Agent they believe is illegal or breaches Section 6, by writing to support@medallionxln.com with a description of the content, its location, and the reason for the report.

Where we remove content, restrict a listing, or suspend an account, we will tell the affected user what we did and why, unless we are legally prevented from doing so. You may contest the decision by replying to that notice within 30 days, and we will review it with human involvement.

13. Suspension and Termination

We may suspend or terminate access where:

  • you breach these Terms;
  • it is necessary to protect the Service, other users, or third parties;
  • we are required to by law.

Except where an immediate suspension is necessary, we will give you notice and, where proportionate, a chance to fix the problem. You may stop using the Service and close your account at any time.

On termination, Sections 9 (as to licences already granted), 10.2, 14, 15, 16, and 18 survive. If we terminate a paid subscription for reasons other than your breach, we refund the unused portion.

14. Disclaimers

To the extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

If you are a consumer in the EEA or UK, this section does not apply to you to the extent it would exclude your statutory rights. Those rights are unaffected by these Terms.

15. Limitation of Liability

Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • gross negligence or wilful misconduct;
  • anything else that cannot lawfully be limited or excluded.

Subject to that, and to the extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or anticipated savings;
  • our total aggregate liability arising out of or relating to the Service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or one hundred United States dollars (USD 100);
  • we are not liable for loss arising from blockchain network behaviour, third-party Agents, or Output you relied on without verification.

If you are a consumer in the EEA or UK, our liability is limited only to the extent permitted by the mandatory law of your country of residence, and the caps above apply only where that law allows them.

16. Indemnification

If you use the Service in the course of a business, you agree to indemnify Medallion XLN against claims, damages, and reasonable legal costs arising from your User Content, your published Agents, or your breach of these Terms.

This section does not apply to consumers.

17. Changes to These Terms

We may change these Terms. Every version carries a version number and effective date. For material changes we give at least 30 days' notice by email or in-product. If you do not accept a change, you may close your account before it takes effect and receive a refund of any unused prepaid amounts.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Disputes are resolved by binding arbitration seated in California, and you and Medallion XLN each waive the right to a jury trial and to participate in a class action.

If you are a consumer resident in the EEA or UK, the preceding paragraph does not apply to you. You may bring proceedings in the courts of your country of residence, we may bring proceedings only in those courts, and you keep the protection of any mandatory provisions of the law of your country of residence that cannot be derogated from by agreement.

19. General

  • If any provision is held unenforceable, the rest remains in effect.
  • Our failure to enforce a provision is not a waiver of it.
  • You may not assign these Terms; we may assign them to a successor in connection with a merger or sale of assets.
  • These Terms and the Privacy Policy are the entire agreement between us regarding the Service.
